Board of Directors Meeting Minutes

Present: Michael Foor-Pessin, Kathy Adams, Tyler Wainwright, Pat Gannon, Jim Colling, Ryan Kiggins, Chris Sedlack, Brian Davis, Jim Richardson, Dan Garcia

Michael Foor-Pessin calls the meeting to order at 7:02 PM.  Kathy Adams makes a motion to accept the minutes of the 8/19/25 Board meeting, which was emailed to all Board members.  Jim Richardson seconds, and the motion is carried unanimously.

Kathy Adams states that she provided attorney Joe Walsh with the revisions made in the last Board meeting to the Association Declaration.  She will process revisions made to the Bylaws tonight by tomorrow and will send the revisions to him by the end of the day tomorrow.  He will return the reviewed documents to us and will discuss the Shareholders voting process.

Bylaws revisions:
The Board reviews the current Bylaws.  There is active discussion on a number of points, with several questions formulated to put to the attorney.  Topics included voting rights of members with more than one lot, a consensus to increase the number of Board members from 7-11 to 7-13, the need for a nominating committee at Annual Meetings, work hours, best ways to disseminate information to members, increasing the number of additional signers for financial accounts, how best to store Association records, and clarifying the definition of a quorum.  No motions were made at this time.

The next Board meeting is scheduled for 9/16/2025 at 7:00 PM on Zoom.

Pat Gannon makes a motion to adjourn, seconded by Jim Colling.  Meeting adjourned at 8:20 PM.
